BIOSKETCH W.C. Martin PERSONAL DATA Mr. Martin lives in Palm Beach Gardens with his wife of 38 years. He has two grown sons and four grandchildren. He is a lifelong runner and fitness fanatic. EDUCATION During 1992, Mr. Martin led HCG investors in the acquisition of a loan from First Union Bank and became the senior secured creditor of Solitron Devices, Inc. He subsequently structured a deal to (a) repay the investors in cash with a significant profit and (b) acquire, on March 1, 1993, the assets of what was then the Microwave Division of Solitron Devices. Mr. Martin then served as CEO of SV Microwave, Inc., the company formed to acquire the assets. After the acquisition, Mr. Martin assembled an excellent management team and, along with them, built the business into a leader in the RF microwave industry. SV Microwave designs and manufactures primarily custom, high performance coaxial connectors, cable assemblies, attenuators and terminations operating at radio wave, microwave and millimeter wave frequencies. These products are used in high end applications in the defense, satellite, aerospace and telecommunication industries, where performance, reliability and durability matter. Sales quadrupled and the company generated healthy profits and cash. The Company was certified to a number of military standards, as well as ISO 9001:2000. It also received numerous awards, including the Manufacturer of the Year Award for 2005 by the South Florida Manufacturers Association, the Program Executive Office Integrated Warfare Systems Excellence Award presented by the U.S. Navy for 2004, as well as awards from Northrop Grumman, Lockheed Martin, General Dynamics and Tektronix. On May 31, 2005, Mr. Martin sold SV Microwave and its subsidiaries, at a substantial premium, to Amphenol Corporation, one of the largest and most profitable connector companies in the world. As part of the agreement, he signed non-compete and a two year employment contract which terminated in 2007. Mr. Martin also served as a director of Ocwen Financial Corporation from July 1996 to May 2008. Ocwen is one of largest servicers of mortgages in the US and the highest rated servicer of subprime mortgages in terms of loss mitigation and foreclosure prevention. |
